Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Ghost Investing Club application and community (“the Service”), operated by Ghost Investing Club LLC (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Ghost Investing Club is an options-tracking tool and private community focused on the Wheel Strategy. The Service provides a dashboard for recording your own trades (cash-secured puts, covered calls, assignments, dividends, and transfers), visualizations such as the strike grid, calculations such as chance-of-profit and realized premium, and access to a private Discord and weekly group Zoom for members. Ghost Investing Club does not select securities, set strikes, recommend allocations, or place orders on your behalf. All trading decisions are made by you and executed by you on your own brokerage platform.

2. No Investment Advice

Nothing in the Service constitutes investment advice, financial advice, trading advice, or any other sort of advice, and you should not treat any of the Service's content as such. Ghost Investing Club LLC does not recommend that any security, option contract, or strategy be bought, sold, or held by you.

Calculations and visualizations the Service displays are mechanical outputs of the symbols, strikes, expirations, and parameters you provide. They are not personalized recommendations. You are solely responsible for determining whether any trade is appropriate for you based on your own financial situation, risk tolerance, and investment objectives.

Member-to-member discussion in our Discord, Zoom calls, and other community channels reflects the personal experiences and opinions of individual members. It is not investment advice, and Ghost Investing Club LLC does not endorse, verify, or take responsibility for content posted by members.

3. No Fiduciary Relationship

Your use of the Service does not create an advisory, fiduciary, or professional-client relationship between you and Ghost Investing Club LLC. Ghost Investing Club LLC is not a registered investment adviser, broker-dealer, or financial planner under any federal or state securities laws.

4. User Responsibilities

You are responsible for:

• All configuration choices you make within the Service, including the symbols, strikes, expirations, contract counts, and account allocations you record.
• Independently evaluating any trade before placing it, regardless of what the dashboard or other members say.
• Executing all trades on your own brokerage account(s).
• Understanding the risks of options trading, including assignment and the obligations that come with cash-secured puts and covered calls.
• Maintaining the confidentiality of your account credentials.
• Following the community guidelines for the Discord, Zoom calls, and other shared spaces, and treating other members with respect.
• Ensuring that your use of the Service complies with all applicable laws and regulations.

5. Accuracy of Data

Market data displayed in the Service, including quotes, option chains, and chance-of-profit estimates, is sourced from third-party providers and may be delayed, incomplete, or inaccurate. Ghost Investing Club LLC does not guarantee the accuracy, completeness, or timeliness of any data. You should verify all information independently against your broker before placing any trade.

6. Assumption of Risk

Trading securities and options involves substantial risk of loss and is not suitable for all investors. You acknowledge that past performance is not indicative of future results, and that the value of investments can fluctuate and may result in the loss of some or all of your invested capital. Selling cash-secured puts can result in assignment of shares well above the prevailing market price; selling covered calls can cap your upside; and the Wheel Strategy as a whole can lose money in adverse markets. You are solely responsible for evaluating these risks and deciding whether to trade. By using the Service, you voluntarily assume all risks associated with your trading activity.

7. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

8. Subscription & Billing

Access to the Service requires a paid subscription. Fees are billed monthly or annually under the tier you select, and your tier is determined by total combined account size as described on our pricing page. Payments are processed by our third-party payment processor.

• You authorize us to charge your selected payment method on a recurring basis.
• You may cancel at any time; your access continues through the end of your current billing period, and no further charges will be made.
• Refunds are not provided for partial billing periods.
• If a payment fails or is declined, we may suspend your access to the Service until the outstanding balance is resolved. We may retry failed payments for up to fourteen (14) days; if payment is not resolved within that period, we may terminate your subscription under Section 12. You remain responsible for any fees incurred before suspension.
• Optional add-ons, such as 1-on-1 Wheel coaching, are billed separately as one-time charges and are non-refundable once a session has been delivered.
• We reserve the right to change pricing or tier thresholds with 30 days' notice. Continued use after a price change constitutes acceptance.

9. Limitation of Liability

To the maximum extent permitted by law, Ghost Investing Club LLC shall not be liable for any investment losses, trading losses, or damages of any kind arising from your use of the Service. This includes but is not limited to losses resulting from:

• Calculations, visualizations, or alerts produced by the Service.
• Statements, opinions, or trade ideas shared by other members in the community.
• Data inaccuracies, delays, or omissions.
• Service interruptions, outages, or errors.
• Your reliance on any information provided by the Service or its members.

In no event shall Ghost Investing Club LLC's total liability exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Ghost Investing Club LLC, its officers, and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your trading activity, your conduct in the community, or your violation of these Terms.

11. Intellectual Property

The Service and all associated content, features, and functionality — including the dashboard, calculations, visualizations, recordings of group Zoom calls, and written materials — are owned by Ghost Investing Club LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, redistribute, publicly post, or create derivative works based on the Service, including recordings of community sessions, without our prior written consent.

12. Termination

Cancellation by you. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access to the Service until that date. See Section 8 for billing details.

Termination by us for cause. We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms, use the Service unlawfully or fraudulently, harass or abuse other members, initiate a chargeback, or engage in conduct that creates risk or legal exposure for Ghost Investing Club LLC or other members. Upon termination for cause, your right to use the Service, including the Discord and Zoom community, ceases immediately.

Termination by us without cause.We may terminate your account without cause by providing at least fourteen (14) days' written notice to the email address on file. During the notice period, you will continue to have access to the Service so that you may export your data and wind down any in-progress activity.

13. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page with a revised effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms. For material changes, we will make reasonable efforts to notify you via email or in-app notification.

14. Governing Law

These Terms shall be governed by and construed in accordance with the federal laws of the United States and the laws of the State of Utah, without regard to its conflict of law provisions. Except for disputes subject to arbitration under Section 15, or claims for injunctive or equitable relief, you agree that any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of those courts.

15. Dispute Resolution and Arbitration

Informal resolution. Before filing any formal claim, you agree to first contact us at the email address in Section 17 and attempt to resolve the dispute informally. You and Ghost Investing Club LLC agree to negotiate in good faith for at least thirty (30) days before initiating arbitration.

Binding arbitration.Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Salt Lake County, Utah, or at another location mutually agreed upon, and the arbitrator's decision shall be final and binding.

Class action waiver. You agree that any arbitration or proceeding shall be conducted on an individual basis only, and not as a class, collective, or representative action. You waive any right to participate in a class action against Ghost Investing Club LLC.

Exceptions. This section does not prevent either party from (a) bringing an individual claim in small-claims court, or (b) seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
